Can You Recover an Arras Deposit in Spain After Signing?

A post-signing decision guide for buyers and sellers assessing recovery, deposit loss, double repayment, breach, failed finance and completion problems.

An arras deposit refund in Spain is not decided by the word arras alone. Recovery may depend on whether the payment permits withdrawal, confirms the sale, secures a penalty, or is subject to a condition. The complete wording, parties’ conduct, alleged breach and evidence must be reviewed before assuming that the buyer loses the deposit or the seller must repay double.

Key Takeaways

  • Start with the signed documents and payment trail, not a general rule about deposits.
  • Arras penitenciales (withdrawal deposit), confirmatorias (confirming payment) and penales (penalty deposit) can lead to different consequences, but the label is not conclusive.
  • Article 1454 of the Spanish Civil Code is not automatically incorporated into every reservation or private purchase contract.
  • A buyer does not always forfeit the money, and a seller does not always owe twice the amount.
  • Mortgage refusal usually supports recovery only where the contract, applicable law and facts make finance relevant to the obligation to complete.
  • Preserve evidence, give carefully drafted notice and reserve rights before negotiating or escalating the dispute.

First Identify the Contract and the Payment

A reservation form, an arras clause or agreement, a private purchase contract and a later public deed can perform different or overlapping functions; arras may be contained within the private purchase contract rather than forming a separate stage. One document may reserve the property briefly, while another may record a binding sale with detailed completion obligations. UK “exchange” and US “escrow” may help explain expectations, but they are not legal equivalents of Spanish documents.

Collect every signed version, annex, property description, proof of payment, estate-agent communication and message exchanged before and after signing. Check who signed, who received the money, the stated purpose of the payment, the completion date, notice provisions, conditions, remedies and governing language. If two language versions exist, identify which one the contract says prevails.

The broader arras contract guide explains what should be checked before signature. If the difficulty is identifying whether a reservation form and arras agreement perform different functions, see the reservation contract versus arras comparison. This article starts after a payment or signature has created a live problem.

How Spanish Law Classifies Arras

Arras penitenciales: an agreed right to withdraw

Arras penitenciales allow a party to withdraw on the agreed consequences. Article 1454 of the Civil Code states that, where arras or a deposit have been given in a sale, the buyer may withdraw by forfeiting them or the seller by returning double.

That statutory wording should not be treated as a shortcut. The whole agreement must show that withdrawal on those terms was intended. If it does, the issue may be exercise of an agreed exit rather than breach. The notice should clearly identify the contractual basis and the consequence being invoked; an ambiguous message can create a dispute about whether a party withdrew, alleged default or merely proposed renegotiation.

Arras confirmatorias: evidence and part-payment

Arras confirmatorias confirm the transaction and commonly operate as part-payment. They do not necessarily give either party a unilateral option to walk away for the price of losing or doubling the deposit. A failure to complete may instead require analysis of contractual enforcement, termination and damages.

Articles 1255 and 1258 recognise the parties’ ability to set lawful terms and the binding effects arising from consent, good faith, usage and law. Article 1450 provides that a sale is perfected when the parties agree on the object and price, even before delivery. These provisions help explain why calling a payment “a deposit” does not by itself make the transaction optional.

Arras penales: an agreed penalty

Arras penales are linked to a penalty for non-performance. Under Articles 1152 and 1153 of the Civil Code, the penalty replaces damages and interest for non-performance unless the parties agree otherwise. The debtor cannot escape performance by paying the penalty unless that right is expressly reserved, and the creditor cannot demand both performance and the penalty unless that entitlement has been clearly agreed. The clause must be read closely to establish its trigger and amount. Do not assume that a stated penalty can be applied without establishing the event that activates it.

Arras Deposit Refund in Spain: Post-Problem Decision Tree

1. Does the contract clearly permit withdrawal?

If the clause creates penitential arras, identify who is withdrawing, whether the clause still operates at this stage and what notice or payment the wording requires. This route is different from asserting that the other party breached. A buyer exercising an agreed withdrawal may accept loss of the deposit; a seller using that right may face the agreed double repayment. Neither consequence should be claimed until classification is established.

2. Did one party fail to do what the contract required?

If withdrawal was not freely permitted, identify what each side was required to do: paying instalments, obtaining documents, curing title issues, appearing for completion, providing vacant possession or delivering the property in the agreed state. Article 1124 of the Civil Code addresses remedies where one party fails reciprocal obligations, including performance or termination and, where legally justified, damages and interest.

A missed date does not answer the case by itself. Review whether time was contractually essential, whether the other party was ready and able to perform, whether notice or a cure opportunity was required, and whether the default was sufficiently serious for the remedy claimed.

3. Was the purchase conditional on a particular event?

A contract may make the purchase conditional on a defined event, such as satisfactory legal due diligence, mortgage approval, sale of another asset, delivery of planning documents or cancellation of a registered charge. The precise condition, evidence standard, cooperation duties and consequence of failure matter. A condition that never occurred is not necessarily the same as either party’s breach.

4. Did finance fail?

Mortgage refusal does not automatically release a buyer. Check whether finance was an express condition, how approval was defined, whether the buyer applied properly and on time, whether the relevant lender decision is documented, and whether any waiver or extension was agreed. A general statement that the purchase was “subject to mortgage” may still require interpretation in context.

A buyer who simply cannot produce funds may be in a different position from one protected by a carefully drafted finance condition. Preserve lender applications, valuation results, refusal letters and communications about proposed alternatives. Do not send an informal cancellation before checking whether it could be treated as a refusal to complete before the contractual deadline.

5. Did due diligence reveal a property problem?

A concern discovered after signing supports recovery only if the contract or applicable law gives it legal effect. Compare the issue with any due-diligence condition, seller warranty, disclosure, agreed property description and completion requirement. The foreign-buyer Spanish property due-diligence guide explains the separate roles of registry, cadastral, municipal, community and physical checks.

Compare what the seller can deliver with the ownership, possession and charge position promised in the contract. The issue is whether the seller can cancel the charges the contract requires to be cancelled, provide vacant possession where agreed and deliver the property described—not whether every charge must disappear. A failure to meet those promises may concern seller non-performance rather than buyer withdrawal. Establish what was promised, whether the defect can be cured and whether the buyer remained ready and able to complete on compliant terms.

6. Is the issue late completion?

Identify the actual contractual date, extensions, dependencies and communications. Delay may be minor, remediable or fundamental depending on the wording and circumstances. Before refusing to attend completion, verify whether outstanding obligations legally justify that step and whether a formal demand or reservation of rights is appropriate.

Evidence, Notice and Resolution Strategy

Create a dated chronology linking each obligation to evidence. Retain the signed contract and annexes, bank confirmations, property advertisements, registry and municipal documents, mortgage records, completion proposals, notarial communications and unedited message exports. Record verbal discussions in a contemporaneous written note. Avoid altering files or relying only on screenshots where original emails or documents exist.

Before serving notice, decide what legal position it must preserve. The document may demand performance, identify breach, invoke a condition, exercise a contractual withdrawal right, propose an extension or terminate. Combining inconsistent positions without qualification can weaken the record. State that rights are reserved where appropriate, and avoid admissions about fault or deposit entitlement before the agreement has been analysed.

Negotiation may address repayment, double repayment, an extension, a price adjustment, completion after cure or a documented settlement. Any settlement should identify the payment, release, confidentiality or cost terms actually agreed and who can sign. If negotiation fails, counsel can assess litigation or other available dispute routes from the contract, evidence, parties and location. No outcome should be assumed merely because one side currently holds the funds.

Where the seller acts as a business and the buyer as a consumer, or a relevant intermediary supplies services to a consumer, Royal Legislative Decree 1/2007 may apply to that consumer relationship. Article 80 requires clarity, accessibility and good faith in terms not individually negotiated. Article 82 addresses non-negotiated terms and practices not expressly accepted that cause a significant imbalance against the consumer contrary to good faith. Check the buyer and seller status, the intermediary’s role and which terms were individually negotiated before relying on these rules; an intermediary’s involvement does not automatically turn a private seller into a business.

Frequently Asked Questions

Does the buyer always lose an arras deposit after cancelling?

No. The result depends on classification, wording, any condition, the reason for non-completion and each party’s performance. Cancellation under a penitential clause is different from termination caused by seller breach or failure of an agreed condition.

Must the seller always return double?

No. Double repayment is associated with seller withdrawal under qualifying penitential arras. A seller’s alleged breach under a different contract does not automatically produce the same remedy, although the contract and general law may support other claims.

Can I recover my deposit if my mortgage is refused?

Potentially, but not automatically. An arras deposit refund in Spain may depend on the finance wording, buyer’s compliance, lender evidence, deadlines and communications. Without a protective condition or another legal basis, inability to finance may remain the buyer’s risk.
