Reservation Contract vs Arras in Spain: A Guide for International Buyers

A practical comparison of Spanish reservation agreements, arras or private purchase contracts, and the public deed for international property buyers.

For an international buyer, the key difference in a reservation contract vs arras in Spain is usually the scope of commitment. A reservation may temporarily remove a property from the market on stated conditions; an arras agreement, which sets deposit and withdrawal or default terms, normally records a fuller bargain. Neither label determines the legal result: wording, payment, conduct and facts do.

Key Takeaways

  • A reservation agreement, an arras clause or agreement, a private purchase contract and the public sale deed may perform distinct or overlapping functions. They are not legally interchangeable, and arras may form part of the private purchase contract.
  • The title on the document is not decisive. Spanish legal classification and remedies depend on the complete wording and transaction facts.
  • Identify who receives the deposit, in what capacity, and under which release and refund rules before transferring funds.
  • Do not assume that “subject to checks” or “subject to finance” applies unless the signed terms clearly provide it.
  • UK exchange and completion and US escrow can orient a buyer, but they are not legal equivalents of the Spanish process.
  • The notary is not the buyer’s lawyer, and neutral escrow is not universally built into a Spanish purchase.

Reservation Contract vs Arras in Spain: Practical Comparison

The table describes common functions, not fixed legal categories. A short reservation can create binding obligations, while a document called arras may operate differently from what either party expected. Advice must therefore start with the actual text and circumstances.

Issue Reservation agreement Arras clause/agreement and/or private purchase contract Public sale deed
Typical purpose Hold the property for a short period while defined next steps occur Record the agreed property, price, payments, completion date and consequences of default or withdrawal Formally document completion before a Spanish notary and provide a public instrument capable of Land Registry presentation; its transfer or delivery effect depends on applicable law, the deed and the facts
Deposit recipient Often an estate agent, seller, lawyer or other stakeholder; capacity and account terms must be checked Seller or an agreed stakeholder, depending on the contract Completion funds usually follow the deed and closing arrangements
Buyer commitment Can range from a conditional hold to an enforceable promise Usually materially stronger and more detailed, but effect depends on drafting Buyer accepts the deed and pays the completion balance under the agreed arrangements
Due diligence position Ideally preserves time and an express exit for specified adverse findings Should reflect completed checks or precisely protect unresolved matters Not the stage to discover basic title, planning, occupancy or contract problems
Essential terms Property, reservation period, amount, holder, refund events and next document Parties, property, price, deposit character, conditions, completion, breach and remedies Final parties, property, title, price, payment, charges and other deed terms
If the deal fails Refund, retention or another remedy depends on the clause and reason Depending on the contract type and what went wrong, the result may be deposit loss, double repayment, enforced completion, termination, a penalty or damages Remedies depend on the deed, prior contracts, applicable law and facts

What a Reservation Agreement Usually Does

A reservation document often seeks to take the property off the market for a limited period in return for a relatively small payment. It should identify the property and parties, state the reservation deadline, explain whether the seller may continue marketing, and say what must happen before a fuller private contract is signed.

Money sent to an estate agent is not automatically held as neutral escrow. The agreement should identify the recipient’s capacity, when funds may be released, who authorises a refund and the account holder.

A reservation should not automatically be treated as a merely administrative form. Where the requirements of a sale are met, agreement on the property and price perfects a binding sale under Article 1450 of the Spanish Civil Code, even before delivery. This contractual commitment is different from acquiring ownership: Articles 609 and 1095 require delivery for the property right to pass under the sale. Under Article 1462, execution of the public sale deed generally constitutes delivery unless the deed states or clearly implies otherwise. The precise effect depends on the complete document and facts. A Spanish reservation is therefore not the legal equivalent of exchange of contracts in England and Wales.

Use the reservation period for defined work. Checks may include ownership and charges, planning and licences, cadastral and physical consistency, community debts, occupants, authority to sell and funding. Royal Decree 515/1989 applies to home marketing and sales carried out as a business or professional activity and directed at consumers, rather than to every private resale. Regional consumer-information rules may also apply. These information duties do not replace property-specific title, planning, community, contract or technical due diligence.

What an Arras or Private Purchase Contract Usually Does

An arras agreement commonly forms part of a private purchase contract. It usually sets out a larger payment, completion deadline, costs, treatment of charges, possession, conditions and consequences if one party does not proceed. It can therefore create a much stronger commitment.

There are three commonly discussed classifications:

  • Arras penitenciales: a contractual withdrawal mechanism associated with Article 1454 of the Civil Code, under which the buyer may lose the deposit or the seller may have to return double.
  • Arras confirmatorias: evidence or part-payment confirming the transaction, with remedies potentially including performance or termination and damages under the applicable rules.
  • Arras penales: a payment or penalty intended to address breach. Under Articles 1152 and 1153 of the Civil Code, the penalty replaces damages and interest for non-performance unless the parties agree otherwise. The debtor cannot escape performance by paying the penalty unless that right is expressly reserved, and the creditor cannot demand both performance and the penalty unless that entitlement has been clearly agreed.

These labels are useful shorthand, not automatic outcomes. Article 1454 does not govern every payment described as arras, and “double the deposit” is not a universal seller obligation. The contract as a whole and the parties’ conduct matter. For the detailed distinctions and a pre-signing checklist, read the guide to arras contracts in Spain.

A mortgage refusal does not automatically release the buyer. If finance is essential, define the minimum amount, deadline, evidence, notice method and refund consequence. Apply the same discipline to unresolved planning, title or survey conditions.

Why the Public Deed Is a Different Stage

The escritura pública de compraventa is the public sale deed signed before a Spanish notary, often when the balance is paid and possession delivered. It is not a longer version of the reservation or arras. It records the property, parties, title, price, payments and relevant charges.

The notary performs the public and impartial checks required for authorising the deed under Spain’s Notary Act, but does not act as the buyer’s independent lawyer or negotiate buyer-specific protections. Buyer-specific title, planning, technical, tax, occupancy and contract due diligence should be addressed separately.

After completion, taxes must be dealt with and the deed is normally submitted to the Land Registry. The Mortgage Act governs important registration effects and registered rights. A registry record is central to title analysis, but it does not alone establish planning legality, physical condition or every risk affecting the purchase.

UK and US Comparisons: Orientation, Not Equivalence

For buyers used to exchange and completion

In England and Wales, buyers often think of exchange as the clear point when the transaction becomes binding, followed by completion. Spain should not be mapped onto that sequence mechanically. A reservation is not exchange, and an arras agreement is not automatically the Spanish equivalent of exchange. Binding obligations may arise from the agreed language and facts at different points.

For buyers used to US escrow

US buyers may expect an escrow holder and standard contingencies. Spain has no universally built-in escrow stage for every resale. A deposit may be paid to an agent, seller, lawyer or stakeholder, each with different authority and release terms. A third-party recipient is not necessarily neutral.

The practical lesson in either comparison is the same: identify the legal commitment document by document rather than importing a familiar home-country milestone. The analysis should therefore begin with the complete operative wording, any prevailing-language clause and the meaning of the concepts under Spanish law, not a home-country label.

Terms to Settle Before Paying

Before signing or transferring a deposit, record:

  1. The buyer, seller and exact property, including parking or storage units.
  2. The amount, account holder, capacity of the recipient and release authority.
  3. The reservation period and whether marketing stops.
  4. Each due-diligence condition and what counts as an adverse result.
  5. Any finance condition and documentary requirements.
  6. The deadline and method for exercising a contractual right.
  7. The completion date, payment route, possession and included contents.
  8. How mortgages, seizures, community debts or other charges will be cleared.
  9. The consequences of buyer default, seller default, withdrawal or failed conditions.
  10. Which version prevails if reservation, private contract and deed terms differ.

If a deposit has already been paid and the transaction is failing, preserve the signed documents, payment evidence, messages, property advertising and due-diligence reports. Do not assume either forfeiture or refund. The separate article on recovering an arras deposit in Spain explains the issue-focused analysis.

Frequently Asked Questions

Is a reservation payment always refundable?

No. Refundability depends on the clause, applicable rules and reason the transaction did not proceed. Require defined refund events, evidence standards, notice deadlines and payment mechanics rather than relying on an oral assurance.

Does signing arras always let either party walk away?

No. That result is associated with properly characterised arras penitenciales, not every deposit or private contract. Confirmatorias and penales can support different consequences, and the complete drafting and facts determine the available arguments.

Which document should a foreign buyer ask a lawyer to review?

Every document should be reviewed before signature or payment. A short reservation form is not necessarily safer than a longer arras agreement. Review should also cover the payment account, due-diligence conditions, finance, completion mechanics and consistency between documents.
